Board of directors

The Board of Directors will comprise of a minimum of 4 and a maximum of 12 members.

Profile of the Directors:

• Manuel Azpilicueta Ferrer (Independent)
  • Holds a degree in Economics and is a State Economist.
  • Between 1976 and 1985 he was Vice-chairman of the Instituto Nacional de Industria (Spanish National Institute for Industry), Chairman of Banco Unión and Chairman of Repsol Butano.
  • For 15 years he was the Managing Director of Russell Reynolds Associates, a leading international recruitment agency.
  • Currently, Chairman of Autopista Madrid Sur and belongs to several Boards of Directors and Advisory Boards. President of Honour of the Spanish Business Association Círculo de Empresarios, of which he was Chairman.
  • Chairman of Solaria's Audit Committee and Member of the Appointments and Remunerations Committee.

• Iñigo Sagardoy de Simón (Independent)
  • Graduated in Law and Corporate Legal Advice and Doctor of Employment Law.
  • Currently joint director, and sole director of the company Sagardoy Abogados, since 1992 and 2006 respectively.
  • Vice-president and member of “Iuslaboris”, the International Employment Law, Pensions, and Employee Benefits Alliance, since the year 2000.
  • Member of the European Employment Lawyers Association since 2005.
  • President of the Advisory Board of IESE-IRCO since 2001.
  • Member of the Advisory Board of the company Global Strategies, S.L. since 2006.
  • Member of the Board of Directors of Broad Optical Access since 1998.
  • Director of Laborpyme, S.L. since the year 2006.
  • President of the Spanish Association of Employment Lawyers.
  • Currently also Vice-president and member of the Board of Trustees of the Sagardoy Foundation as from the year 2002.
  • Chairman of Solaria's Appointments and RemunerationsCommittee and Member of the Audit Committee.

• Enrique Díaz-Tejeiro Gutiérrez (Majority)
  • Industrial Engineer.
  • He has been Director of Camping Gas Española and Director-General of the company Divigrasa as well as Transport Networks Project and Site Manager for the company ASEI (part of the Enagás group).
  • From March 1991 to present day, he has occupied the following posts in various companies closely related to the energy sector, the main ones being: (i) Chairman of Instalaciones Díaz-Tejeiro, S.L., company dedicated to energy installations and natural gas channels which collaborates with other companies such as Gas Natural, Repsol and Cepsa (ii) Managing Director of EIDT, company dedicated to the gasification of the Northern region of the Madrid Community.
  • Represents Solaria DTL Corporación, S.L., main shareholder of Solaria Energía y Medio Ambiente, S.A.
  • Member of the Appointments and Remunerations Committee.

• Enrique Díaz-Tejeiro Larrañaga (Executive)
  • Graduated in Business Management and Administration.
  • Until becoming a member of the Company’s management team, his professional activity took place within several companies closely related to the energy sector in carrying out various duties: (i) Instalaciones Díaz-Tejeiro, S.L., Head of Quality Control; (ii) IDT-SEIDT, Head of the Finance Department.
  • Member of the Audit Committee.

• Arturo Díaz-Tejeiro Larrañaga (Executive)
  • Industrial Engineer, MBA from Instituto de Empresa and Expert in Photovoltaic Systems (Post-graduate of UNED University).
  • He has written specialised theses related with the Photovoltaic and Thermal Solar Energy Sector. During his time at the Energy Resources Center (UIC) in Chicago he carried out a "Project for the development of solar cell technology with indium gallium and nitrogen semiconductors and high-speed assembly lines for photovoltaic modules”.
  • Until becoming a member of the Company’s management team, his professional activity took place within Instalaciones Díaz-Tejeiro, S.L., where he carried out various duties in the post of Technical Manager.

• Miguel Díaz-Tejeiro Larrañaga (Executive)
  • IT Engineer.
  • Until becoming a member of the Company’s management team, his professional activity took place within Instalaciones Díaz-Tejeiro, S.L., where he carried out various duties in the sales department.

• Joaquín Hervada Yáñez
  • Secretary of the Board.
